Terms

These terms apply as soon as you make an account or use the app. They are governed by Dutch law, and the Dutch text of any translation prevails. [If you publish a Dutch version, say which one governs.]

Placement lets you build a guest list, lay out a floor plan and seat people on it. You can keep one free event at a time, with as many guests on it as you like. A free event can be downloaded, as a PDF chart or an Excel guest list, while it has up to 15 guests.

Past that, downloading and printing that event is a one-off payment of $8. It applies to that one event, it does not expire, and there is no subscription and nothing to cancel. Paying for an event also frees your one free slot, so you can start another.

Payments are handled by Stripe. Prices shown to consumers include VAT. [Placement is priced in US dollars in the app today. Decide whether to sell in euros, and make the displayed currency match the Stripe Price.]

[VAT on digital services sold to consumers is due in the customer's own country. Register for the EU One Stop Shop (OSS) via the Belastingdienst, or enable Stripe Tax, before selling across borders.]

As a consumer in the EU you normally have fourteen days to withdraw from a distance purchase without giving a reason. Digital content is the exception: by unlocking an event you ask us to give you access immediately, and you acknowledge that you lose the right of withdrawal once we do. That is what the confirmation at checkout is for.

[This waiver only holds if you actually collect that acknowledgement at checkout and confirm it on a durable medium afterwards. See Art. 6:230p(g) and 6:230v BW. Configure the Stripe checkout and the receipt email to do both, or the fourteen-day right survives and you will owe refunds.]

If something is broken and we cannot fix it, you are entitled to a remedy under Dutch consumer law regardless of the above. Write to [support@yourdomain].

Keep your password to yourself; anything done from your account is treated as done by you. Tell us at [support@yourdomain] if you think someone else has access to it. You must be old enough to enter into a contract where you live.

You own what you put into Placement and you keep owning it. We store and display it so the app works, and we make no other use of it.

Because a guest list is other people's personal data, entering it is your call and your responsibility: you confirm you have a lawful basis for holding those details and for putting them here. For that data you are the controller and we act as your processor; the privacy policy sets out the terms on which we do so.

Do not use Placement to break the law, to store data you have no right to, to attack or overload the service, or to resell it as your own. We can suspend or close an account that does, and will tell you why. [Add a notice period and an appeal route if you want one.]

We work to keep Placement running but do not promise uninterrupted or fault-free availability. Keep your own copy of anything you cannot afford to lose. The Excel and PDF exports exist for exactly that.

[This section needs a Dutch lawyer. It should set the cap, commonly the amount paid in the preceding twelve months, and exclude indirect and consequential loss. Note that Dutch law will not enforce an exclusion for intent or deliberate recklessness (opzet of bewuste roekeloosheid), and that terms limiting liability towards consumers are tested against the grey and black lists in Art. 6:236–6:237 BW.]

You can delete your account at any time from the account page; it removes your events, guest lists and floor plans, including ones you have paid for, and cannot be undone. We may update these terms and will change the date at the top of this page when we do; if a change materially affects you we will tell you before it takes effect, and you may close your account instead of accepting it.

Dutch law governs these terms. If you are a consumer resident elsewhere in the EU, this does not deprive you of the protection of any mandatory rules of your own country.

Disputes go to the competent court in [district, e.g. Amsterdam]. A consumer may always bring a claim in the courts of their own place of residence.
